1. Scope of services

AM AI provides AI voice receptionist setup and operation, website design and development, and AI consulting. The exact deliverables, timeline, and fees for any engagement are set out in a written proposal, quote, or statement of work agreed between us. Where that document conflicts with these terms, that document controls.

• Work outside the agreed scope is quoted and approved separately before it begins.
• You are responsible for providing accurate business information, content, and access needed to deliver the work, and for the lawfulness of the content you supply.
• Third-party platforms (telephony, hosting, calendar, AI model providers) are used to deliver some services and are subject to their own terms and availability. We do not control their uptime or pricing.

2. AI services — what they are and are not

• An AI receptionist is an automated voice agent. It can misunderstand a caller, mis-transcribe details, or fail during a provider outage. It is not a substitute for emergency services, licensed professional advice, or human judgement.
• Calls handled by an AM AI receptionist are recorded and transcribed, and callers are informed of recording and that they are speaking with an AI. If you operate in a jurisdiction requiring all-party consent, or a regulated industry with additional call handling duties, you are responsible for confirming that the configured disclosures meet your obligations.
• AI-generated output may be inaccurate. You are responsible for reviewing output before relying on it for business decisions.

3. Payment terms

• Setup and build fees are one-time charges invoiced as stated in your proposal. Work begins after the agreed deposit or setup fee is paid.
• Monthly service fees are recurring charges billed in advance for each billing period until cancelled.
• Consulting is billed at $149.99 per hour. Monthly retainers are $299.99 for up to 3 hours and $499.99 for up to 5 hours of consulting per month. Unused retainer hours do not roll over.
• Invoices are due on receipt unless the proposal states otherwise. Late payment may pause active services.
• Prices exclude third-party costs such as telephony usage, domains, and hosting unless stated.
• Refunds and cancellation are governed by our Refund Policy.

4. Intellectual property

On full payment, you own the final deliverables produced specifically for you. We retain ownership of our pre-existing tools, templates, frameworks, and know-how, and grant you a non-exclusive licence to use them as embedded in your deliverables. Third-party components remain subject to their own licences.

4a. Transfer of ownership and release of liability on one-time website purchases

A basic website ($499.99 plus the required monthly plan) is hosted and maintained by AM AI and is not transferred unless ownership is purchased. Any one-time full-ownership purchase of a website or digital build is a complete transfer of ownership to the client on final payment and delivery. From that point the website is the client’s property and the client’s responsibility.

On transfer, AM AI is released from and is no longer responsible or liable for anything related to that website, including hosting, uptime, maintenance, backups, software or plugin updates, domain management, security, third-party services and integrations, content accuracy, search rankings, or any loss or damage arising from the website after delivery. AM AI provides no ongoing support for a one-time build unless a separate written care plan or maintenance agreement is active and paid.

4b. Subscriptions, automatic renewal, and cancelling online

Monthly and yearly plans renew automatically at the agreed price on the same date each period until cancelled. The price, billing frequency, and renewal terms are shown to you before you pay and are recorded in the agreement you sign.

You can cancel online at any time, in the same number of steps it took to sign up, from your Client Portal. Cancelling stops all future charges. Service continues to the end of the period you have already paid for, and that period is not refunded in part. You may also cancel by emailing support@amaiservices.com.

We send a renewal reminder by email before each renewal, and your next renewal date is always shown in your Client Portal.

5. Limitation of liability

To the maximum extent permitted by law, AM AI is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business, lost data, or missed calls or leads, even if advised of the possibility. Our total aggregate liability arising out of or relating to the services is limited to the amount you paid us for the specific service in the three months preceding the event giving rise to the claim.

Services are provided “as is” and “as available.” We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We make no guarantee of any particular business result, call volume, lead volume, ranking, conversion rate, or revenue outcome. Nothing in these terms limits liability that cannot lawfully be limited.

6. Indemnity

You agree to indemnify AM AI against claims arising from content you supply, your use of the deliverables, and your failure to meet legal obligations that apply to your own business, including call recording and consumer contact laws.

7. Termination

Either party may end an engagement on written notice as set out in the proposal and the Refund Policy. Fees for work already performed remain payable. We may suspend or terminate immediately for non-payment or unlawful use.

8. Governing law and venue

These terms are governed by the laws of the State of Indiana, without regard to its conflict of laws rules. The exclusive venue for any dispute is the state or federal courts located in Indiana, and both parties consent to personal jurisdiction there.
